1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the website carevoices.health (the "Site") and the Carevoices AI-moderated qualitative research platform (the "Service"), operated by Carevoices ("Carevoices," "we," "us," or "our"). By accessing or using the Site or Service, you agree to be bound by these Terms.
2. Definitions
- Customer — Any pharmaceutical company, medical device manufacturer, hospital system, healthcare ad agency, or other organization that has executed a Master Service Agreement (MSA) with Carevoices.
- Clinician Panelist — Any licensed healthcare professional who has accepted the Panelist Agreement to participate in research conducted via the Service.
- Engagement — A specific research project commissioned by a Customer under an MSA and Statement of Work (SOW).
- Deliverable — De-identified transcripts, recordings, metadata, and compliance documentation provided to Customer at the conclusion of an Engagement.
- BAA — Business Associate Agreement, executed when Customer is a HIPAA Covered Entity or Business Associate and Engagement involves Protected Health Information.
3. Customer Engagements
3.1 MSA + SOW Structure
Each Customer engagement is governed by: (a) a Master Service Agreement establishing baseline terms, (b) a Statement of Work specifying the engagement scope, panelist tier, deliverables, and pricing, and (c) where applicable, a Business Associate Agreement covering PHI handling.
3.2 Productized SKUs vs. Custom Engagements
Carevoices offers productized study SKUs with predetermined pricing (50-nurse qualitative, 25-specialist buying-process, quarterly trackers, advisory research). Custom enterprise engagements are quoted bespoke and may include subscription-based panel access, multi-study contracts, and integration scopes.
3.3 Compliance Documentation
For healthcare engagements, Carevoices provides: BAA template (available pre-signature on request), HIPAA Safe Harbor de-identification methodology documentation, US data residency commitment language, identifier-stripping audit logs per study, and Sunshine Act / Open Payments-format export data when applicable.
4. Clinician Panelists
Clinician Panelists are independent contractors who participate in research interviews in exchange for honoraria. The Carevoices Panelist Agreement governs panelist conduct, payment, and data handling. Customers do not directly contract with panelists; Carevoices recruits, verifies, schedules, and pays panelists on Customer's behalf.
5. Payment and Honoraria
5.1 Customer Pricing
Productized SKUs include all-in pricing for standard panelist tiers (general nurses, specialty nurses, NPs/PAs, primary care physicians, mid-tier specialists). KOL, rare-specialty, and hospital-executive panelists are quoted with pass-through honorarium at cost. Pricing is documented in each SOW.
5.2 Panelist Honoraria
Carevoices pays panelists directly via Stripe Connect or equivalent payment infrastructure. Same-day pay standard following interview completion. Carevoices issues IRS Form 1099-NEC to US panelists earning above the IRS reporting threshold ($600/yr). Tax compliance for non-US panelists handled per applicable jurisdiction.
5.3 Sunshine Act / Open Payments
When Customer is a covered manufacturer under Section 6002 of the Affordable Care Act and Engagement involves payments to physician or other covered-recipient panelists, Customer is responsible for Open Payments reporting. Carevoices supports Customer compliance by capturing necessary panelist data (NPI, license, specialty, address) at intake and providing CMS-format export data on request. For default-blinded studies, Customer does not learn panelist identity and corresponding transfers of value typically do not trigger reporting.
6. Use of the Service
You agree to use the Site and Service only for lawful purposes and in accordance with these Terms. You will not: (a) attempt to reverse engineer, decompile, or otherwise discover the source code of the Service; (b) use the Service to transmit malicious code or interfere with operation; (c) attempt to bypass security controls; or (d) use Site content in violation of intellectual property rights.
7. Customer Data Ownership
Customer retains all rights to its study briefs, stimuli, and engagement deliverables. Carevoices receives a limited license to process Customer Data solely for the purpose of providing the Service. Customer Data is firewalled from any AI training pipelines and is not used to improve generic AI models.
8. Intellectual Property
The Site, the Service, the Carevoices brand, and all underlying technology are owned by Carevoices and are protected by US and international copyright, trademark, and other intellectual property laws. No transfer of intellectual property is implied by use of the Site or Service.
9. Disclaimers and Limitations of Liability
The Site and Service are provided "as is" without warranties of any kind, express or implied. Carevoices does not warrant that the Service will be uninterrupted or error-free. To the fullest extent permitted by law, Carevoices' aggregate liability for any claim arising from these Terms is limited to fees paid by Customer in the 12 months preceding the claim.
10. Indemnification
Customer agrees to indemnify and hold harmless Carevoices from any claims arising from Customer's stimuli content, Customer's use of deliverables in violation of regulatory requirements (FDA, FTC, state regulations), or Customer's failure to comply with its own Open Payments / Sunshine Act reporting obligations where applicable.
11. IRB Cooperation
For Engagements requiring Institutional Review Board oversight, Customer is responsible for obtaining required approvals. Carevoices provides IRB-ready protocol templates and cooperates with Customer's IRB process where applicable. Carevoices does not act as an IRB and does not provide IRB approval services.
12. Confidentiality
Carevoices maintains the confidentiality of Customer engagement details and study results in accordance with the MSA. Carevoices may publish aggregated, de-identified case study material with explicit Customer consent.
13. Termination
Either party may terminate an MSA per the termination terms specified therein, typically with 30 days' written notice. Upon termination, Carevoices returns or destroys Customer Data per BAA and engagement terms.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising from these Terms is subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
15. Changes to Terms
Carevoices may update these Terms periodically. Material changes will be communicated to active Customers via email and Site notice with reasonable notice. Continued use of the Service after notice constitutes acceptance.
